Scope of Services

MTM provides AI-powered software solutions, process automation, custom software development, and related consulting services. The specific scope, deliverables, and timelines for each engagement are defined in individual project agreements or statements of work.

Client Obligations

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the project.
• Respond to requests for feedback and approvals in a timely manner.
• Ensure you have the necessary rights to any materials you provide to us.
• Use our deliverables only for lawful purposes.

Intellectual Property

Upon full payment, all custom code, designs, and deliverables created specifically for your project are transferred to you. MTM retains the right to use general knowledge, techniques, and non-proprietary tools developed during the engagement. Pre-existing intellectual property, third-party libraries, and open-source components remain subject to their respective licenses.

Payment Terms

Payment terms, schedules, and amounts are specified in each project agreement. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may result in suspension of services and may accrue interest as permitted by law.

Limitation of Liability

To the maximum extent permitted by law, MTM's total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. MTM shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Warranties & Disclaimers

MTM warrants that services will be performed in a professional and workmanlike manner. Except as expressly stated, all services and deliverables are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement for a period of two years.

Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you are responsible for payment for all work completed up to the termination date. MTM will deliver all completed work and materials upon receipt of final payment.

Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
